These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Spencer Specialties, LLC, a California limited liability company operating under the trade name Urban Roots Rising ("Urban Roots Rising," "Company," "we," "us," or "our"). By accessing or using the Urban Roots Rising website, blog, digital products, or any related services (collectively, the "Site" or "Services"), you agree to be bound by these Terms.

3.1 Ownership of Content

All content on the Urban Roots Rising Site and associated platforms is the exclusive property of Spencer Specialties, LLC unless otherwise expressly stated. This includes, without limitation:

Website design, layout, graphics, icons, and visual elements
Blog articles, written content, posts, and editorial copy
Recipes, food content, meal plans, and nutritional guidance
E-books, digital guides, worksheets, and downloadable materials
Photographs, videos, illustrations, and multimedia content
Brand name, logo, taglines, and trade dress for Urban Roots Rising
Social media content published on Urban Roots Rising accounts
Course content, if any, and educational materials
Software, code, and website architecture owned or licensed by Spencer Specialties, LLC

3.2 Trademarks

"Urban Roots Rising" and all associated logos, brand marks, and trade dress are trademarks or service marks of Spencer Specialties, LLC. Nothing in these Terms grants you any right to use our trademarks, trade names, service marks, or logos without prior written permission. Unauthorized use of our marks may constitute trademark infringement and unfair competition.

3.3 Copyright

All original content on this Site is protected by United States copyright law and international copyright treaties. Spencer Specialties, LLC owns or controls the copyright in all original content. 4. Blog Content & Disclaimer

4.1 General Blog Content

The Urban Roots Rising blog publishes content on topics including but not limited to food, nutrition, recipes, wellness, gardening, sustainable living, and related lifestyle subjects. All blog content is provided for general informational and educational purposes only.

4.2 No Professional Advice

Nothing on the Urban Roots Rising Site or blog constitutes medical, nutritional, dietary, legal, financial, or professional advice. You should not rely on any content published by Urban Roots Rising as a substitute for professional advice from a licensed healthcare provider, dietitian, nutritionist, or other qualified professional. Always consult a qualified professional before making changes to your diet, health regimen, or lifestyle.

4.3 Content Accuracy

We make reasonable efforts to ensure the accuracy of our blog content; however, Urban Roots Rising and Spencer Specialties, LLC make no representations or warranties regarding the completeness, accuracy, reliability, suitability, or availability of any information, content, recipes, or materials on the Site. Content may be updated, modified, or removed without notice.

5. Recipes

Recipes published on the Urban Roots Rising website and blog are the original creative works of Spencer Specialties, LLC unless otherwise attributed, and are protected by copyright. You are welcome to use our recipes for personal, non-commercial purposes in your own home.

6. Digital Products & E-Books

6.1 Purchase & License

Urban Roots Rising offers e-books and other digital products for purchase and download through our Site. Upon successful payment, you receive a non-exclusive, non-transferable, personal license to use the purchased digital product for your own personal, non-commercial use. This license does not transfer ownership of the intellectual property to you.

6.2 Restrictions

You may not:

Reproduce, copy, or duplicate any e-book or digital product, in whole or in part
Distribute, sell, resell, sublicense, or transfer any e-book or digital product to any third party
Share access to a purchased digital product with others who have not purchased it

Remove or alter any copyright, trademark, or proprietary notice from any digital product
Use any digital product for commercial purposes, including teaching, consulting, or resale

6.3 No Unauthorized Sharing

Purchased digital products are licensed to the individual purchaser only. Sharing purchased products (e.g., uploading to file-sharing sites, emailing to others, posting in group forums) is a violation of these Terms and may constitute copyright infringement. Spencer Specialties, LLC reserves the right to pursue legal remedies for unauthorized distribution.

6.4 Refunds on Digital Products

Due to the instant-access nature of digital products, all sales are final and non-refundable upon download. If you experience a technical issue preventing access to your download, please contact us at andrea@urbanrootsrising.com within 7 days of purchase and we will work to resolve the issue.

7. Affiliate Disclosure & Links

7.1 Affiliate Relationships

Urban Roots Rising participates in affiliate marketing programs. This means that some links on our Site, blog, and social media content are affiliate links. If you click an affiliate link and make a qualifying purchase, Spencer Specialties, LLC may earn a commission at no additional cost to you. We only recommend products and services we genuinely believe may be of value to our audience.

Urban Roots Rising maintains accounts on social media platforms including but not limited to Instagram, Facebook, Pinterest, TikTok, and YouTube. By engaging with Urban Roots Rising on social media:

You agree to comply with the terms of service of the relevant social media platform
You understand that your interactions on social media are public and subject to the respective platform's privacy policies
You grant Urban Roots Rising a non-exclusive, royalty-free license to reshare, repost, or feature your publicly posted content (such as photos tagging Urban Roots Rising or using our hashtags) with attribution, unless you request removal
You agree not to post unlawful, defamatory, harassing, abusive, fraudulent, or otherwise objectionable content on or in connection with Urban Roots Rising's social media accounts

Spencer Specialties, LLC is not responsible for content posted by third parties on social media platforms and reserves the right to remove comments or content that violates these Terms or applicable law.

9. User Conduct

You agree not to use the Urban Roots Rising Site or Services to:

Violate any applicable law, regulation, or ordinance
Infringe upon the intellectual property rights of Spencer Specialties, LLC or any third party

SPENCER SPECIALTIES, LLC AND URBAN ROOTS RISING MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT, INFORMATION, OR MATERIALS ON THE SITE, INCLUDING RECIPES, NUTRITIONAL INFORMATION, AND AFFILIATE PRODUCT DESCRIPTIONS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPENCER SPECIALTIES, LLC AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, SERVICES, BLOG CONTENT, RECIPES, OR DIGITAL PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE AMOUNT PAID BY YOU TO SPENCER SPECIALTIES, LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless Spencer Specialties, LLC and Urban Roots Rising, along with its officers, members, directors, employees, and agents, from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you submit, post, or transmit through the Site or social media in connection with Urban Roots Rising.

14. Governing Law & Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California, and you consent to personal jurisdiction in those courts.

14.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact us at info@spencerspecialties.com to attempt to resolve the dispute informally. We will use good faith efforts to resolve any dispute within 30 days of receiving written notice.

14.3 Waiver of Class Actions

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST SPENCER SPECIALTIES, LLC.

15. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by this reference. By using the Site, you consent to the data practices described in our Privacy Policy. Our Privacy Policy is available at urbanrootsrising.com/privacy-policy.

17. Modifications to the Site & Terms

Spencer Specialties, LLC reserves the right to modify, suspend, or discontinue the Site or any portion thereof at any time without notice or liability. We also reserve the right to update these Terms at any time. The updated Terms will be effective upon posting to the Site. Your continued use of the Site after any changes constitutes acceptance of the revised Terms. We recommend reviewing these Terms periodically.

18. Termination

Spencer Specialties, LLC reserves the right to terminate or suspend your access to the Site, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your license to use our digital products and content is revoked. All provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, indemnification, and limitations of liability) shall survive.

19. Severability & Waiver

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions. No waiver by Spencer Specialties, LLC of any term or condition shall be deemed a further or continuing waiver of that term or any other term.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spencer Specialties, LLC regarding your use of the Urban Roots Rising Site and Services, and supersede all prior or contemporaneous agreements, representations, warranties, and understandings with respect to the same subject matter.
